Corporate Governance in the US and UK

This course adopts a functional approach to Anglo-American company law and integrates company law with corporate governance. The course examines core Company Law and the regulatory framework and practice on corporate governance – the system (structure and process) by which companies are governed, and to what purpose. In light of their extraterritorial reach and partly because of th e relationship between their markets and legal systems, the course focusses on the similarities and variations by considering the structural differences and similarities, legal frameworks and market structure (the effect of retail and institutional investors) as drivers of corporate governance regulation in both jurisdictions.
